Terms of Service

These Terms govern the use of the Kesta platform, operated by Gabi Duarte LTDA, registered under Brazilian company number (CNPJ) 45.815.145/0001-89. By creating an account you confirm that you have read and agree to the conditions below.

1. What Kesta does

Kesta connects a merchant's Instagram account and online store to turn comments on live broadcasts and posts into reservations and orders.

In practice: we read the comments on your broadcast, identify who asked for which product, reserve the item in the order the comments were made, build one bag per buyer, create the order in your store and send the payment link by direct message.

Kesta is an operations tool. The seller is you.

2. What Kesta does not do

We are not a store, a marketplace or an intermediary of the sale. The purchase agreement is entered into directly between you and your customer.

We do not process payments for your sales. Payment happens at your own store's checkout, under the payment methods and conditions you contracted. Kesta has no access to card data.

We do not issue invoices, collect taxes on your sales or perform deliveries.

3. Account and eligibility

To use the platform you must have legal capacity, provide truthful information and keep your credentials confidential. You are responsible for everything that happens in your account.

You must hold the right to use the Instagram account and the online store you connect, and comply with those platforms' terms.

Assistant accounts you create are your responsibility, including the access they have to your customers' information.

4. Your responsibilities as a merchant

The following are exclusively yours: accuracy of descriptions, prices, stock availability, meeting deadlines, delivery, exchanges, returns and customer support.

You are responsible for complying with the Brazilian Consumer Protection Code, tax legislation and advertising rules applicable to your broadcasts.

Regarding your customers' personal data, you act as controller and Kesta as processor under Brazilian Law 13,709/2018 (LGPD). It is up to you to inform your customers about the processing and to answer their requests, with our support.

You are responsible for reviewing the orders generated by the platform before fulfilling them. Automated interpretation of comments can be wrong.

5. Dependency on third-party platforms

Kesta depends on services we do not control, in particular the Meta (Instagram) API and your online store's API.

Those platforms impose usage limits and may change rules, suspend access or become unavailable without notice. When that happens, Kesta features may stop working, in whole or in part.

Meta limits the volume of calls per account and period. Kesta manages that limit automatically and may reduce or pause comment reading to preserve your account's access.

We are not liable for unavailability, changes or discontinuation of those platforms.

6. Plans, subscription and commission

Use of the platform follows the contracted plan, with the prices and limits shown on the plans page at the time of purchase.

In addition to the subscription, a commission may apply to sales actually paid that originated from the platform, at your plan's percentage and subject to the per-broadcast cap, where applicable.

Commission applies only to paid sales. Cancelled or unpaid orders generate no commission.

Prices may be adjusted with 30 days' prior notice. If you disagree, you may cancel before the new price takes effect.

The commission statement is available in the platform, order by order.

7. Availability

We use reasonable efforts to keep the platform available, but we do not guarantee uninterrupted or error-free operation.

We may perform maintenance, fixes and changes that temporarily interrupt the service. Whenever possible we will give advance notice.

You acknowledge that live broadcasts are failure-sensitive events and that keeping a manual contingency procedure is prudent.

8. Acceptable use

You may not use the platform to: sell unlawful products or products that infringe third-party rights; send unsolicited bulk messages; circumvent technical limits of integrated platforms; reverse engineer, copy or redistribute the software; or engage in any conduct that compromises the security or availability of the service for other users.

Breach may lead to immediate suspension of the account.

9. Intellectual property

The software, brand, source code, screens and documentation of Kesta belong to the controller and are protected by Brazilian Laws 9,610/1998 and 9,609/1998.

Your subscription grants you a personal, limited, non-exclusive and non-transferable licence to use the platform for the duration of the contractual relationship.

Your data, your catalogue, your brand and the content of your broadcasts remain yours. We do not use them for any purpose other than providing the service.

10. Suspension and termination

You may close your account at any time. Termination stops future charges; amounts already due remain payable.

We may suspend or terminate access in case of breach of these Terms, non-payment, use that threatens platform security, or legal requirement.

After termination, your data is handled as described in the retention section of the Privacy Policy.

11. Limitation of liability

To the maximum extent permitted by applicable law, Kesta's liability for damages is limited to the amount you paid in the 3 months preceding the event.

We are not liable for lost profits, lost opportunity or indirect damages arising from unavailability of integrated platforms, from errors in the automated interpretation of comments that you did not review, or from business decisions made based on the reports.

Nothing in these Terms waives rights that consumer legislation guarantees on a non-waivable basis.

12. Changes

We may change these Terms. Material changes will be communicated at least 15 days in advance, by email or within the platform.

Continued use after the effective date constitutes acceptance. If you disagree, you may close your account.

13. Governing law and jurisdiction

These Terms are governed by Brazilian law. The forum of the customer's domicile is elected to settle disputes arising from these Terms.
